This solution I found on the help community website from Microsoft. Thanks lazyace and Mike for giving such a great solution.

lazyace: Mike:
I had the same problem with *Vista*. You need to manually download the
patch and run as administrator. It has worked several times with me. Try
these steps:

- Download the patch KB954430 *manually* from microsoft. Save it
temporarily on you're desktop. Just go to
 'http://www.microsoft.com/downloads/details.aspx?FamilyId=96a4413c-5261-4f69-83d0-932c430abd14&displaylang=en'

or if you don't like clicking on links, google "KB954430" and click
on the second link labeled "'DOWNLOAD DETAILS: MSXML 4.0 SERVICE PACK
 2 (*KB954430*)' (http://tinyurl.com/o4sycj)" at microsoft.com.

- Close Internet Explorer

- *Right click* on the KB954430 installation file that was just
 downloaded to your desktop (*msxml4-KB954430-enu.exe*)

- Select '*Run as Administrator*'

- *If *you are asked, select *'Run'* then *'Continue'*.

- Select *'Next'*

- Click on the *'Remove'* icon, then select *'Remove'*

- Select *'Finish'

 *
- *Follow steps 3-6 again.*

- Accept License Agreement then click *'Next'*

- Click *'Next'* again

- Click *'Install Now'* icon

- Click *'Finish'*And you're done. Hope this helps.

@Don,

I am having the exact same problem. I checked my update history and it indicates that I have successfully installed this update about 15 times. However, the update software always tells me that it needs to be updated again.

I found the cure, at least for me. After I would uncheck and hide various updates that kept popping up, a new one every time I hid one of the other ones (that had already updated over and over). I went back and uninstalled my Kodak Easyshare software. That was the only program I had installed since the problem started back in late November. Wa-la! It stopped all the repeated Windows Updates and everything is working perfectly. I'm getting all the new updates without problems. It even fixed an issue I was having with my anti-virus software that wouldn't automatically update itself, I had to manually do it and ignore messages saying it couldn't connect to the server. That's all fixed too!

Now this is weird, I did what Wally suggested by unchecking and hiding the update KB954430. That seemed to work because it quit installing it over and over (up to 120 times). Now it is doing the same thing with another update KB936181. That one was supposed to install back in 6/24/08. When I looked at the update history in Windows Updates , that one doesn't show up as being installed. Now it is installing over and over.

When I look at my Programs and Features in the Control Panel, it doesn't show either one of them having been installed. Grrrrr

I don't know if this will work for everyone but I am running Vista 64 bit and I had the same issue.... installed the same thing about 20 times.
What i did was "uncheck" the update then i right clicked the update and selected "hide". After that two new (but different) updates were required (restarts after each) and now my computer says its up-to-date.... thank god..
Hope this helps
